The Hidden Costs of Forming an LLC: What the Filing Fee Leaves Out

The checkout page says $0 plus state fees. The state fee is $50. Somehow the card charge is $438. This is where the other $388 went, which of these charges are legitimate, and the one question that deflates all of them.

The hidden costs of forming an LLC are rarely scams. They are real fees, real renewals, and real upsells stacked onto a filing fee that was never the main event. The frustration people feel at year two is legitimate, though: the formation page quotes the cheapest number in the whole five-year picture, and the recurring bill arrives when the excitement has worn off. The checkout upsells

Formation services make their margin at checkout, not on the filing. The EIN filing upsell runs $49 to $100 for something the IRS gives away free. Apply on the IRS website yourself and it costs $0. The operating agreement upsell runs $0 to $100 or more at checkout; free templates cover a simple single-member LLC, and you should only pay a lawyer ($100 to $1,000) when multiple members or unusual profit splits are involved. Expedited filing adds $50 to $500 if you need speed, and name reservation runs $10 to $50 if you want the name held before you file. None of these are required. All of them are presented as if they are.

The year-two bill

This is the one that stings, because it repeats. Registered agent service runs $100 to $300 a year, and the renewal price is often higher than the intro offer, $119 to $249 a year is the common renewal band. Compare the renewal, not the first year. Annual reports cost $0 to $500 depending on the state, every year or every two years. Franchise or privilege taxes run $0 to $800 a year in the states that charge them. Compliance subscriptions, the auto-renewing "we handle your filings" add-ons, run $99 to $199 a year and are the easiest line to forget you agreed to.

The costs that depend on where you file

New York, Arizona, and Nebraska require newspaper publication of the new LLC. In New York the county clerk designates two newspapers, one daily and one weekly, for six consecutive weeks, and Manhattan runs $1,500 or more while Albany runs closer to $300 for the same six weeks. That is a one-time cost, but it never appears on any filing-fee chart. Then there is foreign qualification: form in Wyoming because the filing fee is cheap, operate in California, and you register as a foreign LLC in California too. Filing fees, annual reports, and registered agent fees in both states. One analysis put a Wyoming LLC operating in California at about $960 a year versus about $870 forming in California directly. The cheap state was the expensive choice.

The running-the-business costs nobody lists

Past formation entirely, the quiet line items start: a business bank account at $0 at online banks or $10 to $25 a month at traditional ones, general liability insurance starting around $300 a year for a solo consultant, tax preparation at $400 to $1,200 a year once multi-member returns and K-1s enter the picture, and bookkeeping software at $20 to $50 a month. Beneficial ownership reporting to FinCEN is a free filing with steep penalties for ignoring it, so check the current FinCEN guidance rather than assuming the rules you read last year still hold.

The one question that deflates all of it: before you check out, ask the service for the year-two total in writing. The filing fee is a one-time number. The agent renewal, the annual report, the franchise tax, and the compliance subscription are the real price of the LLC, and they are all knowable in advance. A service that will not quote year two is telling you something.
